Authorization

The above-named Client (hereinafter referred to as "Client") is engaging IF Media as an independent contractor for the specific purpose of designing a World Wide Web site, herein after referred to as "Web Design Project", to be published on the Client's account on an Internet Service Provider (ISP)/Web Presence Provider (WPP) computer, herein after refer to as "Hosting Service", or Hosting Service Provided and subleased by IF Media. The Client hereby authorizes IF Media to access this account, and authorizes the Hosting Service to provide IF Media and its designers with "full access" to the Client's account, and any other programs needed for this Web Design Project that are included as part of the Client's service agreement. IF Media will have full unrestricted access to client files that are hosted through IF Media subleased Hosting Accounts. Under no circumstances shall IF Media or its subcontractors or subsidiaries claim ownership to domain name, domain account, hosting account owned by the client or digital artwork furnished by the client for the purpose of the project described herein. The Client also authorizes IF Media to submit the completed Web Design Project to major Web Search Engines.

Development And Compatibility

This Web Design Project will be developed using WordPress Content Management System. Designing a web site to visually display consistently and fully function in multiple browsers, browser versions and devices can require considerable, extra effort. It could also involve creating multiple versions of code/pages. IF Media represents and warrants that the web site we design for you will work in:

• Microsoft Internet Explorer versions 9 and up
• Mozilla Firefox version 56 and up
• Google Chrome version 62 and up

Assignment of Web Design Project

IF Media reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to ensure that the terms of this agreement are met as well as on-time completion.

Copyright and Trademarks

The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to IF Media for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend IF Media and its subcontractors from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

Website Maintenance

This agreement allows for minor web site maintenance to pages for one month following the completion of the project at no charge. This includes updating links and making minor changes to a sentence or paragraph. It does not include major page reconstruction, new pages, guestbook, discussion webs, navigation structure changes, attempted updates by Client repairs.

Payment and Payment Schedule

Payments must be made promptly based on the terms of this Web Site Design Project. IF Media reserves the right to remove any Web Design Project from viewing on the Internet until final payment is made. In case collection proves necessary, the Client agrees to pay all fees (including all attorney's fees and court costs) incurred by that process. This agreement becomes effective only when signed by IF Media. All payments will be made in U.S. Dollars. Notwithstanding any prices listed in literature or on Web pages, the Client and IF Media agree that the services described in this contract shall be completed for the amount of 2080.00. The Client agrees to pay to IF Media an initial, non-refundable deposit of 1040.00 required upon signing the contract. Final Payment of 1040.00 will be due after website has been coded and has been tested on PC/laptop, tablet and smart phone.

Legal Notice

Notwithstanding anything to the contrary contained in this contract, neither IF Media nor any of its employees or agents, warrants that the functions contained in the Web Design Project will be uninterrupted or error-free. The entire risk as to the quality and performance of the Web Design Project is with the Client. In no event will IF Media be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, you or your site visitor's computer or Internet software, even if IF Media has been advised of the possibility of such damages.

Cancellation

Either party may terminate this Agreement by giving a 6 day written notice to the other of such termination. In the event that work is postponed or terminated at the request of the Client, IF Media shall have the right to bill a prorated amount for work completed from the effective date through the date of that request, while reserving all rights under this Agreement. If additional payment is due, this shall be payable within thirty days of the Client's written notification to stop work. In the event of termination, the Client shall also pay any expenses incurred by IF Media and the IF Media shall own all rights to the Work. The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.

This Agreement

This agreement constitutes the sole agreement between IF Media and the Client regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both Client and IF Media. All prices specified in this contract will be honored for 3 months after both parties sign this contract. Continued services after that time will require a new agreement. The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.

We are excited to inform you that we have finished the mock up designs for seekafricanow.com. The mockup will be used as a guide for the development phase and represents the final placement of logos, menus, sections, headings, paragraphs, photos, videos, graphics, colors, etc. Before we can move to the development phase we will need you to sign off all mockups indicating that you are completely satisfied and no further changes need to be made to the layout and or placement of sections.

Please give us your written approval as soon as possible along with your final content so that we may stay on track and meet our launch date of Wednesday, April 17, 2019. Our team at IF Media has carefully tested and reviewed your web site to ensure that it visually displays consistently and fully functions in major browsers, browser versions and devices. In the case that we may have missed anything, you have until May 17, 2019 to notify us of any minor web site changes free of charge. This includes updating links and making minor changes to sentences or paragraphs.

One important thing to consider before we meet again is website maintenance. With the alarming rate of compromised websites a year IF Media offers monthly, quarterly, yearly or as needed backup and maintenance. Based on the nature of your business and anticipated usage we suggest you subscribe to our monthly maintenance package which includes back up of all content, design files, thorough virus scan and removal and professional consulting. You may subscribe to your preferred maintenance package by visiting if-media.com/maintenance. If you choose not to protect your website at this time we completely understand and we will always be here when you are ready.

Upon final payment we will be sending a .zip file to ikeesedebe@gmail.com which will contain your design files as well as a wordpress xml file. These two files are very important and will restore your website to it's orignial state in the case your website is compromised or files are damanged.
